The original MNCA was prepared by the Committee on Corporate Laws in 1952 and has evolved. The Model Nonprofit Corporation Act, Third Edition follows the Model Business Corporation Act provisions to the extent possible, distinguishing nonprofit corporations from profit corporations, eliminates the classification scheme included in the Revised MNCA, and makes the provisions pertaining to the role of the attorney general with a suggestion to adopting states that provisions regarding the supervision of nonprofit organizations would be located in a different place in the state's statutory scheme. Other significant changes involve fundamental transactions, the use of alternative governance arrangements, and the elimination of cumulative voting.
