More Women on Boards: An International Perspective is the seventh volume in the Women and Leadership: Research, Theory, and Practice book series. The purpose of this volume is to explore the complexity of issues related to increasing the number of women on boards of directors around the world: how these issues have been understood; how they have been more and less successfully addressed in different countries and industries; and how they are similar, and yet different, as a results of cultural and legal differences. In the Introduction and 18 chapters included in this book, 42 researchers, activists, and practitioners who were raised or work today in at least 17 countries on 6 continents seek to answer the questions: “Why have women on boards?” “Why is adding women to boards so challenging?” “What actions increase the number of women on boards?” and “What can we learn from situations where there are women board members?” In seeking to answer these questions, the authors summarize previously existing research and share the results of their own recent qualitative and quantitative research studies conducted in many different countries. Both “fix the woman” and “fix the society” challenges and solutions are explored. Stories of women who have successfully joined and, in many cases, led boards of directors are shared. It is clear to us, and we believe will be clear to those who read this book, that there is no single program that will lead to gender equality on boards; however we believe that the authors in this volume provide a rich variety of research and well supported suggestions for addressing the challenges. When local cultures are considered and multiple suggestions implemented as appropriate, we are confident we will, together, increase the number of women on boards throughout the world.

Female presence and involvement on boards improves firm performance, transforms corporate governance and leads to the transition towards more responsible business. Corporate boards are essential bodies for governance and management and their efficiency determines a company’s performance. The board is a crucial element of the corporate governance structure and its efficiency and performance determines the success of the operation and monitoring of the company. The board is viewed as the liaison between providers of capital (shareholders) and managers who use this capital to create value. The board role is to represent, formulate and fulfill the interests and expectations of shareholders as the owners of the companies. The discussion surrounding female participation in business inevitably needs to refer to their presence on corporate boards. It is also a reliable indicator of a gender equality policy and advancement, adopted by countries and companies. The book traces the logic behind the decision patterns of female involvement in governance and management. In particular, it identifies the patterns of women’s presence on corporate boards, with respect to theoretical and conceptual argumentation, policy and regulatory implication, as well as practical adaptation. The phenomenon of women on corporate boards is analyzed in the context of different political, cultural and institutional environments addressing challenges in both developed and emerging economies. The role of female directors is viewed as one of the crucial aspects in corporate governance, adding to the quality of control and management.

Researchers interested in gender and corporate governance issues, companies interested in increasing their numbers of women board members, and women and men serving or hoping to serve on corporate boards will find this book of interest.

The lack of women on boards has galvanised much public and policy interest, which has led to many countries introducing quotas for women on boards, or to concerted voluntary action. However the way that directors are appointed remains opaque and prone to the influence of gender. Using a social constructionist understanding of gender and a discourse analysis, Gender and Corporate Boards explores the board appointment process through the experiences of women and men seeking non-executive board roles. The book is unique in that it traces board-ready candidates, who have been vetted by an executive search firm, over an 18-month period. By taking a longitudinal and prospective view rather than retrospective and snapshot, it provides deep analysis of how the board appointment process is gendered. This volume privileges the voices of those who are seeking board roles to show how they make sense of an unpredictable and complex process. Gender and Corporate Boards first analyses how aspirant board candidates see themselves in relation to the market, through exploring their perceptions of the ideal board member and how they position themselves towards this ideal. Second, the book shows how candidates must leverage their networks to get board appointments, and that the process is gendered: women and men receive different benefits from their networks. Third, the book explores how the participants make sense of success and failure and how their justifications are also gendered. The book will be of interest to those seeking to understand dynamics of gender on boards as well as those interested in gender and leadership more broadly.

This book provides unique insights into how the idea of quota laws to get women on to corporate boards gained international momentum from its origins in Norway. Invaluable insights are gained through the stories of actors involved in shaping the discourse and practice on women of boards. In exploring political contexts, the role of the advocacy movement, experiences of women directors themselves and latest research findings, the contributors provide a comprehensive overview of the rationales, processes and outcomes of formal approaches to gender diversity on boards. Drawing on insights from political, business and academic actors, the book discusses how and why the Norwegian law on gender equality on corporate boards is turning into a blueprint for action internationally. Getting Women on to Corporate Boards will prove an invaluable resource for policy-makers, principle-setters, practitioners and students interested in the international lessons from Norway, as well as for current and potential female directors.

Ahead of the EU's expected announcement of legislation to tackle gender inequality in the corporate world, the European Union Committee concludes that introducing mandatory quotas for the number of women on EU boards would generate negative perceptions amongst women and business leaders and would not address the root causes of inequality. Whilst the Committee agrees there is a leadership role for the EU in furthering the cause of increased equality in the boardroom, quotas would risk setting back voluntary efforts without achieving broader gains, and the Government should strongly oppose any such measure. The Committee instead calls on the European Commission to bring forward measures to monitor the number of women in senior positions on an EU-wide basis. The Commission should also facilitate self-regulatory efforts in Member States which can highlight good and bad performers, giving voluntary efforts a chance to succeed, before quotas are considered.

Inhaltsangabe:Introduction: Even though European equality law has had a considerable impact on the law of the Member States concerning women s rights to employment, it is still often the case that women experience a glass ceiling , which hinders their access to leadership positions in private companies. As identified by the UN Report on Women, women are on most boards of large companies, but their number still remains considerably low when compared to men. Although the Report acknowledges that in general opportunities of women with regard to employment have increased, the representation of women in leading positions is still too low. This is especially notable in the largest corporations, which remain male- dominated. Of the 500 largest corporations in the world, only 13 have a female chief executive officer . In the European Union, women hold only 11 percent of top company positions and the average proportion of women serving as chairman of the board of top companies was only 3 per cent in 2009. Among the European Union Member States, the highest percentage of women in boards can be found in Norway, which as the first country in the world introduced a women s quota of 40 percent for board members in 2004 by law. When quotas were proposed in 2002, the proportion of women in boards was only 6.8 percent, whereas it is now 34 percent. The success of the Norwegian example led to a political debate about female representation in leading positions throughout the Union. In September 2010, the Spanish government introduced a gender quota of 40 per cent for both, men and women to be achieved by 2015. France introduced a women s quota for corporate boards in 2011 and other governments such as those of the Netherlands and Italy are positive about introducing similar quotas via legislation. The reasons for the glass ceiling women still experience are manifold and involve old stereotypes, which are deeply rooted in society. It is this invisible barrier that justifies positive action measures in the first place: to remove deeply rooted social practices that interfere with the process of substantial equality in society in order to create conditions that give individuals equal access to employment. However, it would be too simplistic to argue that in equality law it is all about treating people equally. Rather, it is best resumed in the Aristotelian maxim: equality is about treating equal cases equally and unequal cases unequally. In the case of gender [...]

Can female directors help save economies and the firms on whose boards they sit? Policy makers seem to think so. Numerous countries have implemented boardroom gender policies because of business case arguments. While women may be the key to healthy economies, I argue that more research needs to be done to understand the benefits of board diversity. The literature faces three main challenges: data limitations, selection and causal inference. Recognizing and dealing with these challenges is important for developing informed research and policy. Negative stereotypes may be one reason women are underrepresented in management. It is not clear that promoting them on the basis of positive stereotypes does them, or society, a service.
