DOWNLOAD EBOOKChina has traveled a unique road to reach its present economic significance in the world with corporate governance central to political and economic policy. In Understanding Corporate Governance in China, Bob Tricker and Gregg Li look at a variety of companies in China and the challenges they face. Based on in-depth interviews with business leaders, entrepreneurs, auditors, bankers, lawyers, and others closely involved in corporate governance in China, they argue that corporate governance involves more than company law, governance guidelines, and the rules of the stock exchanges and regulatory authorities. Culture and ethics lie at the core of corporate governance. In Chinese business these are still evolving, and business-government relations continue to change. It is vital to understand how business people and officials act in practice in China. They also explain how the regulatory framework of corporate governance in Hong Kong increases the sophistication. As more and more companies based in mainland China are listed on the Hong Kong Stock Exchange and increasingly dominate the Hong Kong market, the business worlds of China and Hong Kong become intertwined and grow together. After a brief introduction to the basic theories of corporate governance and the evolution of corporate governance in China, the book guides the reader through current issues and practices in both mainland China and Hong Kong. Topics like Chinese culture and ethics, the regulatory corporate governance framework in mainland China and Hong Kong, the function and practice of the board of directors in China, and the governance of Chinese companies abroad are covered.

DOWNLOAD EBOOKThe book is the first comprehensive consideration, since the UK Cadbury Report recommended a voluntary Corporate Governance Code, of the question whether Corporate Governance Codes are the most effective way of ensuring adherence to good corporate governance principles. There is no doubt that the idea of voluntary compliance with good corporate governance practices, based on the principle of ‘comply or explain’, has captured the imagination of the world. It is probably one of the best and most comprehensive examples of ‘self-regulation’ ever seen in any area where the society could be affected significantly, for current purposes by corporations. However, is this the most effective way of ensuring that corporations act responsibly and adhere to good corporate governance principles? Have these Codes really improved corporate governance practices significantly? Is it time for a rethink and, at least in certain areas, start to rely more on ‘hard law’ and clearer expectations to ensure compliance? All these issues are addressed in the book.

DOWNLOAD EBOOKAs a hybrid regime, Hong Kong has been governed by a state-business alliance since the colonial era. However, since the handover in 1997, the transformation of Hong Kong’s political and socio-economic environment has eroded the conditions that supported a viable state-business alliance. This state-business alliance, which was once a solution for Hong Kong’s governance, has now become a political burden, rather than a political asset, to the post-colonial Hong Kong state. This book presents a critical re-examination of the post-1997 governance crisis in Hong Kong under the Tung Chee-hwa and Donald Tsang administrations. It shows that the state-business alliance has failed to function as an organizational machinery for supporting the post-colonial state, and has also served to generate new governance problems. Drawing upon contemporary theories on hybrid regimes and state capacity, this book looks beyond the existing opposition-centered explanations of Hong Kong’s governance crisis. By establishing the causal relationship between the failure of the state-business alliance and the governance crisis facing the post-colonial state, Brian C. H. Fong broadens our understanding of the governance problems and political confrontations in post-colonial Hong Kong. In turn, he posits that although the state-business alliance worked effectively for the colonial state in the past, it is now a major problem for the post-colonial state, and suggests that Hong Kong needs a realignment of a new governing coalition. Hong Kong’s Governance under Chinese Sovereignty will enrich and broaden the existing literature on Hong Kong’s public governance whilst casting new light on the territory’s political developments. As such, it will be welcomed by students and scholars interested in Chinese politics, Hong Kong politics, and governance.
