There has been a decisive change in the role of contracts in the past decade, with contracts being transformed from purely legal necessities designed to protect against worst-case scenarios into tools for optimizing ongoing and mutually profitable business relationships with customers. The contract is usually written before the design is fully developed, and there is often a mismatch between contractual specifications and what the customer actually wants. Good contract management entails preserving the rights of the contractor by ensuring all parties respect their contractual obligations; providing advice to the project managers and engineering team; preparing profitable amendments to contracts or change requests; maintaining good record-keeping in the event that claims arise; filing notices when necessary; and guiding the project to a profitable conclusion. Like the ancient Chinese game of Go, moves made early in the game (notification of events) can shape the nature of a potential conflict one hundred moves later (arbitration threat). Contract management can also smooth the relationship between partners, allowing well-balanced “don’t-trade-a-dollar-for-a-penny” contracts to be managed through an established process rather than as sporadic events (we cannot claim to be in control of our business if we are not in control of the contracts on which it depends). Managing a contract with a mix of incomplete manuals, fragmented information, and poor planning can drive companies to “reinvent the wheel.” Contract management promotes a three-phase sequence to streamline information flows across the contract lifecycle, from the bid phase to performance, project closeout, and final payments.

This thesis frames design in infrastructure public-private partnerships (P3s) as an exercise in negotiated collaboration. I investigate whether the collaborative design process in P3s can systematically deliver the benefits of innovation in design. The focus is on two aspects of the design process: project co-design, and collaboration mechanism. I find that both aspects enable innovation by driving project actors to learn about the design space and develop a shared understanding of the design problem. Learning through shared understanding not only improves quantifiable payoffs (Objective Value) but also enhances the actors' psycho-social outcomes (Subjective Value). Co-design is a process in which project actors simultaneously design technical and contractual features of a project. I developed a tradespace model to visualize and explore value trade-offs from co-design, using a desalination P3 as a project case. Co-design is a fundamental improvement over the traditional sequential design process because it reveals the zone of negotiated agreement, a frontier set of designs available to project actors, that can help them meet their own objectives while balancing value trade-offs. The combination of flexible modular designs and risk sharing revenue guarantee mechanisms emerged as a frontier design choice in the co-design analysis. Communication and common knowledge are two different collaboration mechanisms that affect the design choices of project actors. A controlled design experiment with 112 experienced designers tested the relative effects of these two mechanisms. The role-playing designers negotiated design decisions for a desalination P3 using the co-design tradespace model. Only the communication mechanism systematically shifted outcomes. The construction industry has shown considerable interest in collaborative approaches such as integrated project delivery (Kent & Becerik-Gerber, 2010) as well as team-building, relational delivery methods, and their potential benefits. There are also guidelines and implementation plans that focus on particular delivery methods and contracts. However, the exact tools and procedures used to develop effective teams and produce superior outcomes can vary drastically from one project to another due to unique constraints. Additionally, once a project team successfully delivers a collaboratively-driven project, it is impossible to know whether the same results could have been attained without those efforts. Lastly, many studies have extensively compared traditional and collaborative teams, but few have limited their comparisons to a single owner or institution. Thus, to understand how such efforts impact project and team performance within a specific sample group, this research sought to aggregate the collaborative efforts and results from multiple projects with a single owner. The extent of the collaboration and teamwork in these projects, along with their successes and failures, were measured against a traditionally-delivered project with the same owner and general circumstances.
